BUSINESS LAW
Formation of New Business If you are forming a new business, your first decision will be the selection of the type of entity which would best serve the needs of your business. This decision should be made after careful research, discussion, and consideration. You have many options. Attorney Roy will discuss your options with you, advising you of the pros and cons of each one, so as to help you select the one which will be best. Limited Liability Company (LLC) At this time, the limited liability company (LLC) is a popular entity for new businesses among Attorney Roy’s clients. The ability to be taxed as a partnership, combined with the flexibility as to the structure and functioning of the LLC are popular among clients. The LLC can be set up to resemble a partnership or to resemble a corporation in its functioning. It is also possible to form a single member LLC. If you select the LLC structure for your business, Attorney Roy will prepare and file the docketing statement and certificate of organization and prepare the operating agreement according to your requirements.
Incorporation The corporation is another popular entity for new and existing businesses. Attorney Roy helps clients form non-profit and "for profit" corporations. She also advises boards and corporate officers as to the functioning of their corporations. If the corporation is the entity you select, Attorney Roy will prepare and advertise Articles of Incorporation, prepare bylaws, initial resolutions, and, if desired, a shareholders agreement.
Partnerships If a partnership is appropriate for your business, Attorney Roy will prepare a partnership agreement based on your needs and wishes. Buy-sell provisions may be included in the partnership agreement.
Fictitious Name Registration Attorney Roy will advise you as to whether the name you wish to use for your business entity is available and will advise you if registration is necessary. Regardless of the entity you select, if you plan to use a fictitious name, Attorney Roy can register and advertise the use of the fictitious name.
Purchase and Sale of Business If you are considering selling your business or buying an existing business, it is important that you have legal representation. It is wise to consult with an attorney early in the process, and certainly before signing an agreement of sale or similar document committing yourself to the transaction. Attorney Roy can help you identify the particular issues in your purchase or sale that may need special attention. Often identifying issues early in the process can lead to a smoother transaction. Attorney Roy is available to prepare the agreement of sale, to advise you about due diligence or disclosure, to prepare a confidentiality agreement if needed, to perform title work if real estate is involved, and to conduct or attend the closing.
Employment Contracts In certain situations, an employment contract is advisable. It is important to have legal advice before signing such a contract. Attorney Roy can review a proposed contract or prepare one for you. She can explain the legal requirements and limitations of such contracts. Attorney Roy can advise you about concepts such as "at will employment" and the law concerning covenants not to compete, as part of the process of preparing or reviewing an employment contract.
